Terms of Service

1. Who we are

Verquil is a transcription workspace operated by Scorpeia (“Verquil”, “we”, “us”). If you have questions about these terms, contact us at hello@verquil.com.

2. The service

Verquil converts your video and audio recordings into transcripts. You upload files in batches; we extract the audio, transcribe it with speaker diarization and word-level timecodes, apply your custom vocabulary, and give you the result to review and export. Transcription itself is performed by a third-party engine (see section 7).

Automated transcription is not perfect. Accuracy varies with recording quality, accents, overlapping speech, and terminology. Transcripts may contain errors, and you are responsible for reviewing a transcript before relying on it — especially in legal, medical, or other professional contexts. Verquil provides transcription output only; it does not provide legal, medical, or professional advice.

For Chinese recordings, transcription returns text with little or no punctuation, so we add it using a third-party provider (see section 7); other languages come back punctuated and are left alone. For any language, we also write a short summary. Summaries are generated by software: they can be wrong or leave things out, they are labelled as AI-generated in the app, and the transcript remains the record.

3. Your account

• Provide accurate account information and keep it up to date.
• Keep your credentials confidential. You are responsible for activity under your account.
• Tell us promptly if you believe your account has been compromised.
• You may close your account at any time.

4. Credits and payment

Verquil is metered in credits: 1 credit covers 1 minute of audio, rounded up per file. When a job starts, the estimated credits are reserved from your balance; they are settled when the job completes successfully. If a job fails, the reserved credits are automatically returned to your balance.

New accounts receive 30 minutes of free trial credits, no payment details required.

During the current testing period, credits are issued free of charge. When paid purchases launch, the purchase terms — pricing, taxes, and any refund rights for purchases required by applicable law — will be stated at checkout and reflected in an updated version of these terms.

Unused credits: credits are a metering unit for the service, have no cash value, and, except where applicable law requires otherwise, are not redeemable or exchangeable for cash. If we ever discontinue the service, we will give reasonable advance notice so you can use your remaining credits.

5. Your content

Your recordings and transcripts are yours. You retain all rights to the content you upload and the transcripts we produce from it. You grant us only the limited permission needed to operate the service: to store, process, transcribe, and deliver your content back to you, including passing audio to our transcription engine and transcript text to our AI provider, as described in the Privacy Policy.

You are responsible for your content: you must have the necessary rights and, where applicable, the consent of recorded participants to upload and transcribe a recording. This matters in particular for recordings that contain personal, medical, or otherwise confidential information.

6. Acceptable use

• Do not use Verquil for unlawful purposes or to process content you have no right to process.
• Do not attempt to probe, overload, or disrupt the service, or to access other users' accounts or data.
• Do not resell or provide access to the service in a way that circumvents credit metering.

We may suspend or terminate accounts that violate these rules, with notice where reasonably possible.

7. Data handling and third-party processing

How we handle your files — including automatic deletion of source audio after successful transcription, the limited retention of audio from failed jobs (up to 72 hours, to allow a retry), transcription by a third-party provider with a per-request training opt-out, and punctuation and summaries by a text-processing provider, which receives the full text of your transcript — is described in full in our Privacy Policy, which is part of these terms.

8. Availability and changes to the service

We work to keep Verquil available and dependable, but we do not guarantee uninterrupted operation. We may change or improve features over time. If we make a change that materially reduces the service you have paid for, or discontinue the service, we will give reasonable advance notice.

9. Disclaimers and limitation of liability

The service is provided “as is”. We do not warrant that transcripts will be error-free or that the service will meet every requirement of your use case.

To the maximum extent permitted by applicable law, we are not liable for indirect or consequential damages, and our total liability arising out of the service is limited to the amount you paid us in the 12 months before the event giving rise to the claim (or, if you have paid nothing, to re-supplying the service). Nothing in these terms excludes liability that cannot be excluded under applicable law.

10. Termination

You can stop using Verquil and close your account at any time. We may suspend or terminate your account for material breach of these terms, with notice where reasonably possible. On account closure, your data is handled as described in the Privacy Policy.

11. Changes to these terms

We may update these terms as the service evolves. For material changes we will notify you (for example by email or an in-product notice) before they take effect. Continuing to use the service after a change takes effect means you accept the updated terms.

12. Governing law

These terms are governed by the laws of the Republic of China (Taiwan), and disputes are subject to the competent courts of Taiwan, without prejudice to any mandatory consumer protections of your place of residence.
